Terms of Service

The agreement governing use of the iAppraiseTrucks platform.

Effective date: August 7, 2026

These Terms of Service (the "Terms") govern use of the iAppraiseTrucks platform (the "Service", including iappraisetrucks.ca and app.iappraisetrucks.ca), operated by Sterling Information Technologies Inc. ("iAppraiseTrucks", "we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes the organization.

1. The Service

iAppraiseTrucks is a software platform for capturing commercial-vehicle inspections and preparing, reviewing, and delivering appraisal and specification documents. Organizations are onboarded subject to platform approval; an organization's access to tenant features is activated once it is approved and its first subscription payment has cleared.

2. The platform is not the appraiser

Inspections are performed, and appraisal documents are prepared, reviewed, and released, by your organization's own personnel. iAppraiseTrucks provides the software workflow; we are not an appraiser, do not certify valuations, and make no representation or warranty about the accuracy, completeness, or fitness of any inspection or appraisal produced through the Service. Valuation conclusions are the professional responsibility of the organization and individuals who prepare them. Nothing in the Service constitutes financial, insurance, or professional advice.

3. Accounts and roles

You must provide accurate account information and keep your credentials secure. Organization administrators control membership and role assignment; what a member can see and do is determined by their assigned role. You are responsible for activity under your account and, if you are an organization, under your members' accounts.

4. Fees and payment

Use of tenant features requires a paid subscription, billed through Stripe on the plan presented at checkout. Fees are exclusive of applicable taxes (GST/ HST/PST where applicable), which will be added as required. If a subscription lapses or payment fails, the organization's access may be suspended until payment resumes. Except where required by law, fees are non-refundable.

5. Your content

Your organization owns the records it creates in the Service — inspection data, photos, and appraisal documents ("Customer Content"). You grant us a limited licence to host, process, transmit, and display Customer Content solely to operate and support the Service. You are responsible for having the rights and consents needed for the Customer Content you upload (including photographs and any personal information they contain).

6. Document delivery

When your organization releases a document, the Service delivers a download link by email to the recipient your organization designates. Released documents are frozen as a delivery record. Access to downloads is re-checked at the time of download, including release status and, where applicable, payment status. Your organization is responsible for designating the correct recipient.

7. Acceptable use

You may not: misuse or interfere with the Service; attempt to access another organization's data; upload unlawful content or content that infringes others' rights; reverse engineer the Service except as permitted by law; or use the Service to send unsolicited communications. We may suspend access that threatens the Service's security or integrity.

8. Availability and changes

We aim for high availability but the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We may improve or modify the Service; if we discontinue it, we will provide reasonable notice and a window to export Customer Content.

9. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) our total liability for all claims arising out of or relating to the Service in any 12-month period is limited to the fees the organization paid to us for the Service in that period. These limits do not apply to your payment obligations or to either party's fraud or wilful misconduct.

10. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Content, your use of the Service in violation of these Terms, or the appraisals and valuations your organization produces.

11. Termination

You may stop using the Service at any time; organizations may cancel their subscription effective at the end of the billing period. We may suspend or terminate access for material breach of these Terms. Following termination we will make Customer Content available for export for a period of thirty (30) days, after which it may be deleted, subject to our retention obligations and audit records.

12. Privacy

Our collection and use of personal information is described in the Privacy Policy. The organization is the custodian of its business records; we process them on its behalf.

13. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. The parties attorn to the exclusive jurisdiction of the courts of Ontario.

14. Changes to these Terms

We may update these Terms; material changes will be posted on this page with an updated effective date, and continued use of the Service after the change takes effect constitutes acceptance.
